Le 9 septembre 2020, l’Autorité de la concurrence a sanctionné les laboratoires pharmaceutiques Novartis, Roche et Genentech, à hauteur de 444 millions d’euros, pour avoir abusé de leur position dominante collective dans le but de préserver la vente du médicament Lucentis, au détriment de l’Avastin, pour le traitement de la dégénérescence maculaire liée à l’âge (DMLA). Cette décision française intervient alors que l’autorité de concurrence italienne avait déjà, en 2014, condamné Roche et Novartis à une amende de 182,5 millions pour des pratiques similaires, mais sur le fondement de l’entente.
Le laboratoire Genentech a développé le Lucentis, un médicament pour le traitement de la DMLA qui a obtenu une autorisation de mise sur le marché (AMM) européenne en 2007. Genentech a par ailleurs développé l’Avastin, médicament utilisé pour le traitement de certains types de cancers, qui s’est vu accorder une AMM en 2005, pour des indications thérapeutiques en oncologie uniquement.
Genentech assure la commercialisation de ces deux médicaments aux Etats-Unis, mais a accordé, pour le reste du monde, une licence d’exploitation et de commercialisation à Novartis, pour le Lucentis, et à Roche, pour l’Avastin.
Les premières administrations d’Avastin en oncologie ont démontré des effets positifs sur l’état de santé de patients également atteints de DMLA, ce qui a conduit les praticiens à un usage hors AMM en ophtalmologie (étant précisé que le coût d’une injection de Lucentis pour le traitement de la DMLA était trente fois supérieur à celui d’une injection d’Avastin). En substance, l’Autorité reprochait à ces trois laboratoires d’avoir cherché à préserver la position et le prix du Lucentis, en freinant l’utilisation de l’Avastin hors AMM, pour le traitement de la DMLA.
Pour ce faire, l’Autorité tient compte des liens capitalistiques croisés (participations contrôlantes de Roche dans Genentech et participations non-contrôlantes de Novartis dans Roche) et des liens contractuels qui existaient entre les sociétés (en particulier, les contrats de licence entre Genentech et Novartis, pour le Lucentis, et entre Genentech et Roche, pour l’Avastin). Elle en déduit que Novartis, Roche et Genentech forment une entité collective au sens du droit de la concurrence, qui détenait une position dominante sur le marché de la DMLA au cours de la période infractionnelle. L’Autorité considère que ces liens ont notamment incité les trois laboratoires à adopter une ligne d’action commune visant à maintenir une distinction entre les deux médicaments et à garantir le prix élevé du Lucentis, profitant financièrement à tous : à Novartis (licencié) qui percevait le produit des ventes de Lucentis, à Genentech (donneur de licence), qui percevait les redevances des ventes de ce médicament et à Roche, en sa qualité d’actionnaire (principal, puis unique) de Genentech. Selon l’Autorité, le recours à l’Avastin plutôt qu’à Lucentis était donc susceptible d’entraîner un manque à gagner pour chacun des trois laboratoires.
Quant aux abus, l’Autorité reproche à Novartis d’avoir mis en œuvre, entre 2008 et 2013, une campagne de communication visant à dénigrer l’utilisation d’Avastin en ophtalmologie auprès de médecins spécialistes, associations de patients et du grand public, afin de préserver la prescription et la position du Lucentis. L’Autorité condamne également les discours qui auraient été alarmistes et trompeurs sur les risques liés à l’utilisation d’Avastin pour le traitement de la DMLA, véhiculés par les trois laboratoires auprès des pouvoirs publics français.
Novartis écope d’une amende de plus de 385 millions d’euros, et les laboratoires Roche et Genentech, d’une amende de près de 60 millions d’euros. Ces montants ont été substantiellement majorés pour appartenance à un grand groupe (70% de majoration pour Roche, 50% pour Novartis). Ceci peut paraitre particulièrement sévère pour des pratiques s’inscrivant pourtant dans un contexte de prescription hors AMM réglementairement très peu encadré et contrôlé dans ses effets sur les patients, car relevant de la liberté de prescription des praticiens.
Par une décision du 17 septembre 2020, l’Autorité de la concurrence sanctionne deux organisations syndicales et une organisation interprofessionnelle de la filière vitivinicole à hauteur de 376 000 euros, pour s’être entendues sur le prix du raisin et pour avoir élaboré et diffusé des recommandations tarifaires sur le vin en vrac.
En premier lieu, l’Autorité sanctionne l’Association des Viticulteurs d’Alsace (AVA) et le Groupement des Producteurs Négociants du Vignoble Alsacien (GPNVA), deux organisations syndicales, ainsi qu’une organisation interprofessionnelle, le Comité Interprofessionnel des Vins d’Alsace (CIVA), pour s’être concertés entre 2008 et 2017 afin d’augmenter les prix de la matière première et renchérir ainsi le prix de vente aux consommateurs des vins d’Alsace. Dans sa décision, l’Autorité relève que ces concertations ont permis d’établir des recommandations sur les prix du raisin, à l’issue de chaque récolte et pour chaque cépage alsacien, qui ont été publiées dès 2013 dans la revue des Vins d’Alsace. On notera que l’Autorité considère que la présence de l’administration à certaines des réunions organisées par ces organismes est sans incidence sur la qualification des pratiques.
En deuxième lieu, l’Autorité reproche au CIVA d’avoir élaboré et diffusé pour chaque récolte entre 1980 et 2018, des recommandations tarifaires à destination de ses adhérents sur le vin en vrac. L’Autorité constate en effet que le CIVA élaborait des prix uniques, par cépage, applicables à tous les exploitants viticoles alsaciens et les publiait avant la période de commercialisation du vin en vrac.
L’Autorité estime que, bien que non contraignants, ces prix négociés et recommandations ont incité les opérateurs à aligner leurs comportements et à se détourner d’une appréhension individuelle de leurs coûts, de leur stratégie commerciale et d’une détermination indépendante de leurs prix. Elle estime en conséquence que les pratiques ont limité le libre jeu de la concurrence sur le marché en cause.
Le montant des sanctions pécuniaires a été déterminé selon des modalités propres au cas d’espèce. L’Autorité relève en effet que les organismes en cause ne disposaient pas eux-mêmes d’un chiffre d’affaires mais qu’ils disposaient en revanche de ressources propres, issues des cotisations annuelles de leurs membres. C’est donc sur cette base que l’Autorité a procédé au calcul de l’amende. Ainsi, le CIVA a écopé de la sanction la plus lourde, à savoir 348 000 euros d’amende, suivi de l’AVA (26 000 euros) et du GPNVA (2000 euros).
Ces trois organisations alsaciennes se disent stupéfaites face à la démesure des sanctions pécuniaires prononcées qui ne semblent pas prendre en compte la crise sans précédent que la filière traverse.
Le 11 septembre 2020, à l’occasion de la vingt-quatrième rencontre de l’International Bar Association, Madame Margrethe Vestager, vice-présidente exécutive de la Commission européenne, a annoncé que les autorités nationales de concurrence pourraient, dès mi-2021, lui transmettre l’examen d’opérations de concentration jugées sensibles, y compris lorsqu’elles ne franchissent pas les seuils nationaux de notification.
Pour mémoire, l’article 22 du règlement EU n°139-2004 sur le contrôle des concentrations, permet aux autorités nationales de concurrence de renvoyer à la Commission européenne l’analyse d’une opération qui n’est pas de dimension communautaire mais qui affecte le commerce entre États membres et menace d’affecter de manière significative la concurrence sur le territoire du ou des États membres qui formulent cette demande. Jusqu’ici, la Commission estimait nécessaire que l’Etat demandant un tel renvoi soit compétent pour analyser l’opération en cause. En d’autres termes, l’opération en cause devait franchir les seuils nationaux de notification.
En pratique, cette nouvelle lecture de l’article 22 permettra notamment d’appréhender les acquisitions dites « prédatrices » ou consolidantes, intervenant principalement dans des secteurs innovants et qui jusque-là échappaient au contrôle des concentrations, faute pour ces entreprises de remplir les seuils en chiffre d’affaires.
L’Autorité de la concurrence se félicite donc de cette annonce qui n’est toutefois pas sans soulever des interrogations, notamment d’un point de vue procédural mais également en termes de sécurité juridique pour les entreprises.
La Commission sera amenée à préciser, courant 2021, les conditions dans lesquelles ces renvois pourront être mis en œuvre en pratique.
