Le 28 octobre 2019, l’Autorité de la concurrence a infligé au premier groupement européen de transport et de logistique Astre une amende de 3,8 millions d’euros pour avoir mis en œuvre depuis 1997, soit pendant plus de vingt ans, une entente entre ses membres, ayant pour objet une répartition de clientèle, sur le fondement d’une obligation de non-concurrence. Le gendarme de la concurrence est venu préciser, à l’occasion de cette décision, les conditions d’application de la procédure de transaction sur deux points.
Rassemblant des petites et moyennes entreprises de transporteurs routiers, le groupement Astre est structuré autour de deux entités, Astre Coopérative, qui veille au respect des règles internes du groupement et est chargée de recruter de nouveaux adhérents, et Astre Commercial, qui commercialise les services de transport et de logistique des membres du groupement.
En pratique, les transporteurs adhérents – les « Astriens » – se sont vus interdire jusqu’en 2016, par diverses clauses contenues dans le règlement intérieur, les statuts et la convention d’adhésion d’Astre Coopérative, de démarcher ou de répondre aux sollicitations des clients référencés par les autres Astriens. L’Autorité a considéré que cette obligation de non-concurrence, qui a fait l’objet d’une mise en œuvre effective au sein du groupement, aboutissait à une interdiction de démarchage actif et passif de clients référencés.
En 2016, suite à une enquête de la DGCCRF, le groupement s’est engagé à supprimer de son règlement intérieur les clauses litigieuses. Toutefois, la pratique a été réinstaurée en matière d’appels d’offres par le biais d’une règle de priorité introduite dans le règlement intérieur d’Astre Commercial. Astre Commercial se réservait par exemple le droit de ne diffuser les appels d’offres des clients qu’aux Astriens ayant déjà travaillé avec ces clients.
La réintroduction de l’obligation de non-concurrence seulement quelques mois après que le groupement a indiqué à la DGCCRF que les clauses de non-concurrence relevées dans ses procès-verbaux d’enquête avaient été supprimées, est de nature à accentuer la gravité de la pratique.
De même, sont de nature à accroitre la gravité de la pratique, les mécanismes de surveillance et de sanction mis en place par le groupement pour assurer le respect des obligations de déclaration des clients référencés et de non-concurrence. Chaque Astrien disposait d’un « label » de 12 points qui pouvaient être retirés en cas de non-respect des obligations prévues par le règlement intérieur. La perte de la totalité des points entraînait le retrait du label et l’exclusion du groupement. Le retrait de points se traduisait par ailleurs par des pénalités financières à hauteur de 250 euros le point.
Astre Commercial et Astre Coopérative, qui ont renoncé à contester les faits, ont pu bénéficier de la procédure de transaction. Toutefois, l’examen des conditions d’éligibilité de l’affaire à une transaction a soulevé deux questions qui ont fait l’objet d’une clarification.
Premièrement, l’Autorité est venue rappeler qu’en sollicitant une transaction, l’entreprise qui s’engage dans cette voie procédurale se doit d’apporter des garanties suffisantes pour faire cesser la pratique litigieuse dans les meilleurs délais à compter de la signature du procès-verbal de transaction. Cette mise en conformité avec le droit de la concurrence ne constitue pas en soi un engagement susceptible de donner droit à une réduction de la sanction.
Deuxièmement, lorsqu’une entreprise signe un procès-verbal de transaction, cela implique que les fourchettes de sanction envisagées soient compatibles avec sa capacité contributive. Elle ne peut donc soutenir ensuite que la sanction envisagée est incompatible avec sa situation financière, sauf à ce que celle-ci se soit dégradée postérieurement à la signature du procès-verbal.
Cette décision rappelle une fois de plus la nécessité pour les groupements d’être d’autant plus vigilants aux règles de la concurrence que leur structure même favorise les comportements illicites ; vigilance rendue indispensable du fait de l’augmentation prochaine des sanctions en application de la directive ECN+.
La Commission européenne a infligé une amende de 28 millions d’euros à Canon à l’occasion du rachat de Toshiba Medical Systems Corporation (TMSC) pour avoir mis en œuvre cette opération de manière anticipée avant d’avoir obtenu l’autorisation de la Commission.
Rencontrant de sérieuses difficultés financières, Toshiba a lancé un appel d’offres en vue de la cession de sa filiale TMSC, spécialisée dans l’équipement médical. Afin de remporter l’appel d’offres, Canon a proposé une offre au terme de laquelle le transfert du prix d’achat n’était pas conditionné aux autorisations liées au contrôle des concentrations. Cette structure de transaction a permis à Toshiba de recevoir le prix d’achat de manière accélérée et irréversible.
Pour cette acquisition, Canon a utilisé une structure de transaction en deux étapes faisant intervenir, dans une première étape, un acheteur provisoire. Pour la première étape, un véhicule ad-hoc a été créé (Ms Holding) en charge d’acquérir 100% des titres de la cible. Cette première étape a été effectuée sans aucune notification auprès de la Commission. La deuxième étape, consistant en l’acquisition par Canon de 100% des actions de TMSC auprès de l’acheteur provisoire, a quant à elle été notifiée à la Commission et réalisée après son feu vert.
Au lendemain de la transaction provisoire, une plainte anonyme dénonçant l’opération de portage a été déposée auprès de la Commission, laquelle a donné lieu à une communication de griefs.
La Commission a considéré que les deux étapes de la structure de transaction formaient ensemble une seule concentration notifiable. Toshiba avait cessé d’avoir le contrôle sur sa filiale et Canon était certaine d’exercer à terme le contrôle sur la cible. Elle a participé à la création de la structure ad hoc et portait tout le risque économique en ayant payé le prix. Canon est donc condamnée à une amende totale de 28 millions d’euros pour avoir manqué à son obligation de notification et pour avoir réalisé l’opération avant l’autorisation.
Pour la détermination de la gravité de la sanction, la Commission a en outre souligné qu’eu égard à sa dimension internationale et à ses ressources, Canon ne pouvait ignorer les règles du contrôle des concentrations. Elle suggère qu’a minima, les entreprises doutant du caractère notifiable ou non d’une concentration devraient la saisir pour avis.
A l’ère de l’économie numérique, les algorithmes constituent des leviers technologiques indéniables de plus en plus utilisés par les entreprises.
Dans une étude conjointe, l’Autorité de la concurrence et le Bundeskartellamt ont cherché à déterminer si, et dans quelle mesure, les algorithmes peuvent avoir des effets néfastes sur le fonctionnement concurrentiel des marchés, notamment en facilitant les collusions horizontales.
Dans le cadre de leur étude, les autorités de la concurrence ont identifié trois types de situations où les algorithmes peuvent avoir un impact sur le marché. Dans le premier cas, l’algorithme intervient au soutien d’une entente horizontale pour en faciliter la mise en œuvre ou la surveillance. Dans un second cas, l’algorithme est à l’origine de la collusion et ce, alors même qu’il a été établi par un tiers. L’étude parle alors de « code level » pour l’alignement au niveau de l’algorithme et de « data level » pour l’alignement au niveau des données. En l’absence de communication directe entre les membres de l’entente alléguée, cette situation implique néanmoins que ces derniers aient connaissance ou aient pu avoir connaissance que l’utilisation d’un même algorithme via le même tiers fournisseur pouvait avoir un objet ou effet anticoncurrentiel. Enfin, dans un troisième cas, l’étude envisage, en l’absence de collusion, l’alignement des comportements pouvant résulter de l’application d’algorithmes.
L’étude conclut que le cadre juridique actuel, en particulier l’article 101 TFUE et sa jurisprudence, permet à ce stade aux autorités de concurrence de traiter des problèmes de concurrence liés aux algorithmes et n’appelle pas pour l’heure à l’adoption de règles spécifiques.
La publication de cette étude appelle donc les entreprises utilisatrices à s’intéresser de plus près au contenu et à la mise en œuvre des algorithmes qu’elles utilisent, notamment quand ces derniers sont confiés à des tiers.
