Par une décision du 17 décembre 2015, l’Autorité de la concurrence a infligé à Orange une amende d’un montant record de 350 millions d’euros pour avoir mis en œuvre quatre séries de pratiques anticoncurrentielles dans différents marchés de communications électroniques. Il s’agit de la plus grosse amende infligée par l’Autorité de la concurrence à une entreprise à titre individuel.
A l’origine, le Conseil de la concurrence (devenu Autorité de la concurrence) avait été saisi en 2008 par l’un des principaux concurrents d’Orange, Bouygues Télécom. Cette saisine initiale visait un ensemble de pratiques mises en œuvre par Orange dans le secteur des services de communications électroniques à destination de la clientèle non résidentielle, en particulier sur le marché de la téléphonie mobile à destination des entreprises.
Bouygues reprochait en particulier à Orange le recours à des remises fidélisantes et à des remises de couplage, ainsi que la mise en œuvre de prix prédateurs, et soutenait que ces pratiques constituaient des abus de position dominante au sens des articles L. 420-2 du Code de commerce et 102 TFUE. En 2010, SFR a saisi à son tour l’Autorité de pratiques abusives mises en œuvre par Orange, sur le même marché de la téléphonie mobile à destination de la clientèle non résidentielle.
Malgré le désistement de Bouygues Télécom en 2014, l’Autorité a notifié à Orange quatre griefs d’abus de position dominante le 6 mars 2015, que l’entreprise mise en cause s’est engagée à ne pas contester le 6 novembre 2015.
Dans l’intervalle, entre en vigueur le 7 août 2015 la « loi Macron », et avec elle une nouvelle procédure de transaction applicable devant l’Autorité. En vertu de cette procédure, l’entreprise mise en cause, à condition de ne pas contester les griefs qui lui ont été notifiés, peut se voir proposer, sur la base d’une négociation puis d’un commun accord avec le Rapporteur Général, un montant d’amende compris entre un minimum et un maximum. Cette procédure remplace l’ancienne procédure de non-contestation des griefs et est désormais prévue à l’article L. 464-2, III du Code de commerce.
Alors que cette procédure de transaction ne peut en principe s’appliquer qu’aux affaires dans lesquelles la notification des griefs a été reçue postérieurement à l’entrée en vigueur de la loi Macron, les services d’instruction de l’Autorité ont toutefois fait le choix de s’inspirer de ce nouveau dispositif à l’égard d’Orange, en lui proposant une amende d’un montant maximum de 350 millions d’euros, montant que l’entreprise a accepté et que l’Autorité a ensuite entériné dans sa décision.
Sur le fond, l’Autorité a jugé que l’ensemble des pratiques dénoncées par les concurrents étaient avérées. En particulier, elle a considéré qu’Orange avait abusé de sa position dominante (i) en favorisant ses services commerciaux dans l’accès aux informations relatives à la boucle locale, (ii) en fidélisant de manière abusive sa clientèle entreprises via un programme dénommé « changer de mobile », (iii) en mettant en place un système de remises incitant les entreprises à demeurer clientes et à confier l’ensemble des lignes de leur parc à Orange, et (iv) en mettant en œuvre une remise d’exclusivité sur les offres de réseaux privés virtuels (VPN) destinées aux entreprises.
En plus de la sanction infligée, l’Autorité a assorti sa décision d’un ensemble d’injonctions prononcées à l’égard d’Orange, aux termes desquelles l’entreprise sanctionnée s’engage à cesser les pratiques abusives toujours en cours et à ne pas réitérer de telles pratiques.
Malgré le montant en jeu, Orange a déclaré ne pas faire appel de la décision. N’est-ce pas là d’ailleurs pour l’Autorité l’un des avantages majeurs de cette procédure de transaction ? Si l’entreprise a certes davantage de prévisibilité sur le montant maximal de l’amende si elle choisit de ne pas contester les griefs, il lui est en revanche plus difficile d’en contester le montant, ce qui veut dire moins de réformations possibles des décisions de l’Autorité par la Cour d’appel de Paris…
Le Tribunal de l’Union européenne a récemment annulé une décision de la Commission européenne condamnant un cartel entre une vingtaine de compagnies aériennes pour vice de motivation. Une censure aussi sévère d’une décision de la Commission est tellement rare en pratique et lourde de conséquences qu’elle mérite à ce titre une attention toute particulière.
La Commission avait en effet adopté en 2010 une décision qui constate une entente anticoncurrentielle entre plusieurs transporteurs aériens qui avaient coordonné leur comportement en matière de tarification pour la fourniture de services de fret aérien. A la suite d’un recours devant le Tribunal, celui-ci relève une contradiction entre d’une part les motifs de la décision attaquée, selon lesquels il est fait grief à toutes les compagnies concernées d’avoir participé à une seule infraction unique et continue relative à toutes les liaisons couvertes par l’entente, et d’autre part le dispositif de ladite décision, qui constate soit quatre infractions uniques et continues distinctes, soit une seule infraction unique et continue dont la responsabilité ne serait imputée qu’aux transporteurs visés par chacun des comportements infractionnels cités dans le dispositif.
Le Tribunal vérifie ensuite s’il en résultait une atteinte aux droits de la défense des entreprises concernées et constate à ce titre que ces contradictions ne leur permettent pas de comprendre la nature et la portée de l’infraction ou des infractions constatées, ce qui est contraire au principe de protection juridictionnelle. De plus, le Tribunal retient qu’il est dans l’impossibilité de contrôler la légalité de la décision attaquée. Les juridictions nationales étant liées par la décision de la Commission, le dispositif doit être compris de manière univoque afin d’en tirer les conséquences nécessaires en matière de demandes de dommages et intérêts. Il s’ensuit selon le Tribunal que la décision attaquée est entachée d’un vice de motivation justifiant son annulation.
Si cette annulation est justifiée sur un plan purement théorique, elle est lourde de conséquences pratiques. En effet, l’acte annulé de la Commission n’ayant plus d’effet juridique, la constatation faite par celle-ci d’une entente anticoncurrentielle entre compagnies aériennes disparaît de manière rétroactive. Certes, en principe, l’institution qui avait adopté l’acte annulé est tenue de combler le vide juridique, mais dans l’hypothèse d’un défaut de motivation, la Commission rencontre une réelle difficulté à remédier à l’irrégularité déjà commise. Le cartel du fret aérien pourrait donc demeurer finalement impuni avec, à la clef, le remboursement des amendes déjà versées à la Commission.
Saisie pour avis par une organisation représentative de pharmaciens d’officine, la Commission d’examen des pratiques commerciales (CEPC) s’est interrogée sur la portée de différentes clauses figurant dans les conditions générales de vente fixées par certains grossistes-répartiteurs à l’égard de pharmaciens.
En particulier, la CEPC a été invitée à se prononcer sur la validité de clauses imposant aux pharmaciens (i) de maintenir un certain volume de commandes durant la durée du préavis exécuté en cas de rupture des relations commerciales, et (ii) prévoyant une clause pénale en cas de non-respect de cette obligation.
La CEPC a considéré qu’une telle clause n’apparaît pas en soi déséquilibrée au sens de l’article L. 442-6, I, 2° du Code de commerce, dès lors que la pénalité semble conforme aux bonnes pratiques. La CEPC indique toutefois que c’est sous réserve du risque que pourrait représenter une telle clause si, en fonction du nombre de grossistes-répartiteurs, elle pouvait empêcher le redéploiement de l’activité faute de solutions alternatives.
