Our dedicated Infrastructure and PPP Group:

Structures PPP procurements to achieve best value;
Advises private sector participants on procurement requirements and drafts procurement documentation on behalf of public authorities;
Drafts and negotiates project and concession agreements, design-build, operating, maintenance and rehabilitation agreements, interface agreements and direct agreements;
Advises lenders, and drafts and negotiates all relevant project finance documentation;
Drafts and negotiates public-private partnership agreements, design-build contracts, operation and maintenance contracts, EPC and EPCM contracts, construction management contracts, professional services agreements, subcontracts and all other contracts required in the context of an infrastructure and PPP project;
Advises on statutory requirements and other issues relating to public procurement, outsourcing of services, appropriations, ultra vires and sector-specific issues, including specialized enabling legislation for PPP transactions; and
Provides risk assessments and preventive strategies, advising on resolving issues during project development, procurement and implementation, including with respect to construction contracts, professional liability, procurement and tendering, construction liens, bonding and insurance.

Experience

High Frequency Rail Project: Advising the Government of Canada on the proposed high frequency rail project to create higher-speed, more frequent and more reliable intercity passenger rail service to the largest cities within the Toronto-Ottawa-Montreal-Quebec City Corridor.
Atlantic Loop Project: Advising the Government of Canada in respect of its proposed Atlantic Loop, a high-voltage transmission line to interconnect the provinces of Quebec, New Brunswick and Nova Scotia.
LNG Canada Project: Advising JGC Fluor BC LNG Joint Venture in its role as EPC contractor for the construction of a multi- billion dollar LNG export terminal in Kitimat, BC, one of the largest energy investments in Canadian history.
Centerm Expansion Project/South Shore Access Project: Advising the Vancouver Fraser Port Authority with respect to the complex procurement and all design build matters on the expansion of the container terminal in the heart of Vancouver's downtown waterfront.
Contrecoeur Container Terminal: Advising the Montreal Port Authority on the development of a fourth container terminal. Advising on all aspects of the legal structure of the project, including preparation and documentation for the procurement of the project, and negotiation of related agreements.
Ontario Line Subway: Advising a member of a prequalified consortium in connection with its participation in a proposal to design, build, finance, operate and maintain a new subway line in the City of Toronto, the first all-new line in fifty years.
Regional Express Rail (RER) On-Corridor Expansion – GO Transit Expansion Project: Advising a bidder on its participation in a prequalified consortium bidding to design, rehabilitate, construct, operate and maintain the commuter rail network in the Greater Toronto Area, including acquisition of rail lines and of new rail vehicles, and outsourcing of rail operations..
Réseau électrique métropolitain (REM): Advising a member of a prequalified consortium bidding to supply rolling stock, operating systems, and operation and maintenance services in connection with a $5.5 billion, 65-kilometer automated electrified light rail system in the city of Montreal procured by CDPQ Infra, a subsidiary of Caisse de depot et placement du Québec.
New Bridge for the St. Lawrence Corridor: Counsel to the Department of Justice and the Government of Canada in connection with the design, construction, financing, operation, maintenance and rehabilitation of a new 3.4km bridge across the St. Lawrence River to replace the existing Champlain Bridge, a 470m-long new bridge to replace the existing Île des Soeurs Bridge, an approximately 4km long federal highway (A-15), an open road tolling system and related intelligent transportation systems and various related components (approx. CA$5-billion).
Muskrat (Churchill) Falls (Newfoundland): Counsel to the construction contractor in connection with its bid for, and subsequently its construction of, the intake and powerhouse, spillway and transition dams related to the 800MW Muskrat Falls hydroelectricity generation facility in Labrador, Canada (approx. CA$1 billion).
Fort McMurray West Transmission Project: Counsel to a short-listed consortium in connection with its bid on the innovative PPP transmission line project in northern Alberta (approx. CA$1.6 billion).
CHUM Health Centre, Sainte Justine Children’s Hospital, Fleurimont Health Centre and Baie Saint-Paul Hospital: advising proponents or the public authorities in respect of four major hospital P3s in Quebec.
Turcot Interchange: Counsel to Infrastructure Québec and the Ministère des Transports du Québec with respect to the design and reconstruction of a replacement for Montreal’s three-highway downtown Turcot Interchange (approx. CA$2 billion).
Peru Schools Project: Advising International Finance Corporation and the Government of Peru in connection with the structuring and implementation of a public-private partnership for the design, construction, financing and maintenance of up to 41 schools in Lima, Cuzco and elsewhere in Peru.
New Mexico State University Campus Transformation Initiative: Advising the successful proponent on the structuring and implementation of a concession to plan, manage, operate and maintain the development of NMSU’s campus at Las Cruces, New Mexico.
Bogotá Metro: Advising a consortium composed of several primarily European project developers, in its proposal to design, construct, finance and operate the first subway line in Bogotá, Colombia (approx. CA$4 billion).
Progressive DBFM P3 for Maryland Public Schools: Advising the service provider with respect to its participation in a consortium for the progressive design-build, financing and maintenance of eight public schools in Maryland.
Small Modular Reactor (SMR) Nuclear Plant: Advising the reactor vendor in the drafting and negotiation of an engineering, procurement and construction contract for the installation of a small modular nuclear reactor in Ontario.
