When involved with cross-border transactions in the mining sector, there are multiple off shore and local factors affecting the risks and costs of the deal, and often different to those which the M&A and financing attorneys based in the world's major investments and financing centers are used to dealing with, or are trained to look at.

In this session, and from the perspectives of the host countries where mining assets are located, we intend to describe the most important of those factors and how to deal with them in structuring and documenting cross-border mining transactions.

• flow of funds for cost and tax efficiency;
• structuring of projects for investment protection purposes;
• structuring of security packages for most efficient value recovery in case of default;
